Terms of Service
Company: Vicinity Social, LLC Effective date: September 20, 2026 Last updated: October 5, 2026 Address: 25852 McBean Parkway #831, Valencia, CA 91355 Contact: support@vicinity-social.com
These Terms are an agreement between you and Vicinity Social, LLC ("Vicinity", "we", "us"). By creating an account or using the app or website, you accept them. If you do not accept them, do not use Vicinity.
1. You must be 18
You must be at least 18 years old. By using Vicinity you confirm that you are. We ask for your date of birth at sign-up and will close any account we believe belongs to someone under 18.
2. What Vicinity is
Vicinity shows you other members near you, by approximate distance, so you can meet people nearby. It is open to people of all genders and orientations. You only see members whose preferences match yours and who match yours in return.
3. Your account
- Keep your password private. You are responsible for what happens on your account.
- One account per person. Do not impersonate anyone, and do not create a new account to get around a ban.
- Give accurate information about yourself, including your age.
- Tell us at support@vicinity-social.com if you think someone else is using your account.
4. Rules of use
You agree not to:
- Harass, threaten, stalk, bully or abuse anyone.
- Post sexual content involving minors, or anything that sexualizes a minor, in any form. This is reported to NCMEC and to law enforcement.
- Post nudity or sexually explicit content, in profiles or in chat.
- Post content that is illegal, violent, hateful, or that promotes self-harm or illegal drugs.
- Share private information about another person, or share photos, videos or messages from another member outside the app without their permission.
- Sell anything, advertise, run scams, or ask members for money.
- Send spam. This includes unsolicited promotional or commercial messages, the same or nearly the same message sent to many members, bulk or repetitive messaging, chain messages, links to outside sites or paid content sent without being asked, recruiting members to another platform or service, and using likes or messages to drive traffic anywhere. It applies to profiles as well as chat.
- Use Vicinity for commercial sex work, human trafficking or sexual exploitation.
- Aid, abet, encourage or facilitate the abuse or exploitation of any person, sexual or otherwise. This includes recruiting, advertising, soliciting, transporting or harboring a person for those purposes, arranging it on someone else's behalf, and directing anyone to content or services that do it.
- Commit, threaten, arrange, promote or glorify sexual violence. This includes rape and sexual assault, any sexual activity obtained by force, threat, coercion or deception, and drugging or otherwise incapacitating a person for a sexual purpose.
- Share, send, post or threaten to share an intimate or sexually explicit image or recording of a person without that person's consent.
- Upload content that you do not have the right to use.
- Try to work out another member's exact location, scrape the service, break into it, or interfere with how it runs.
- Use bots or automated tools on the service.
- Use events to arrange sexual activity. Events are for meeting people. Gatherings organized around sex — including group sex, partner swapping and anything advertised in those terms — are not allowed, whether or not money changes hands.
- Create an event you do not have the right to hold or do not intend to hold, or use events to do anything else on this list.
We may remove content and suspend or close accounts that break these rules, without notice where the situation calls for it. Our Acceptable Use Policy, at https://joinvicinity.com/aup, sets these rules out in full and forms part of these Terms.
5. Your content
You assign your content to us. When you upload, post or send anything on Vicinity — photos, videos, profile text, messages — you assign to Vicinity Social, LLC all right, title and interest in it, including all copyright, worldwide and for the full term of protection. We own that content once it is on the service.
To the extent any part of that assignment is not effective under applicable law, you instead grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to use, host, store, copy, modify, resize, screen, distribute and display the content for any purpose connected with operating, improving and promoting Vicinity.
You confirm that you have the right to give us this, and that the content does not infringe anyone else's rights. If you believe content on Vicinity infringes your copyright, or that an intimate image of you has been published without your consent, our Takedown and Content Removal Policy explains how to tell us and what we will do.
What we agree to in return. We will handle your content only as our Privacy Policy describes. We do not sell it, and we do not share it outside the limited circumstances that policy sets out — the service providers listed there, legal process and law enforcement, and a sale or merger of the company. Owning your content does not give us permission to disclose it in any way the Privacy Policy does not allow.
When you delete. Deleting content or your account removes it from the service, and we will stop displaying it. Copies may remain where we are required to keep them by law, in routine backups for a short period, and where content has already been received by another member.
6. Screening and review
All photos and videos are screened automatically before they appear. Content may be rejected, held for review by our team, or removed later. Content is also checked against databases of known child sexual abuse material, and any match is reported to NCMEC and preserved for authorities, as federal law requires.
7. Safety, and what we don't do
- We do not run criminal background checks on members, and we do not verify that members are who they say they are.
- We cannot promise anyone's conduct, online or in person. Use good judgment, meet in public places, and tell someone where you are going.
- Use the tools we give you: block, report, hide your distance, and turn on incognito.
- If you are in danger, contact the police first, then let us know at support@vicinity-social.com so we can help with an investigation.
8. Events
Vicinity lets members organize events and lets people nearby find them and RSVP. Some events are created by members. A small number are run by us, and those are labeled as Vicinity events in the app.
Events created by members are not ours. We do not organize, sponsor, endorse, supervise, insure, staff or attend them. We do not choose the venue, set the rules, check that the host has permission to use the space, confirm that the event will happen at all, or check that it is safe or lawful. Listing an event is not a recommendation of the event, the host, the venue or anyone attending. Anything that happens before, during or after a member's event is between the people there, and we are not responsible for it or liable for it.
Attending is your decision and your risk. The safety points in section 7 apply in full. Meet in public where you can, tell someone where you are going, and leave if something feels wrong.
If you host an event, it is yours. You are responsible for it: for following the law, for any permits, licenses, insurance or venue permission it needs, for the conduct of your guests to the extent it is in your control, and for anything you say about it here. You must not create an event you do not have the right to hold, and you must not use events to advertise a business, sell anything or gather people for any purpose we prohibit in section 4. You agree to cover our costs if a claim is brought against us because of an event you hosted.
RSVPs and guest lists. An RSVP is a statement of interest, not a ticket or a contract. Capacity limits, guest lists and invitations are set by the host, and a host can cancel, change or uninvite at any time. Addresses of member events are shown only to people who say they are going; do not pass them on.
Events we run. Where an event is labeled a Vicinity event, we are the organizer of that event and this section's disclaimer of involvement does not apply to it. Attendance is still at your own risk and subject to the venue's rules and the law. Invite codes for our events are personal to you, work once, cannot be sold or transferred, have no cash value, and can be canceled by us. We can refuse entry or ask anyone to leave.
Events are checked before they are posted. The title and details of every member event are screened automatically. An event that reads as something section 4 prohibits is refused, and you will be told. Events may also be reviewed or removed after they are posted. Screening is automatic and imperfect: it is not a review of the event, and an event that goes up has not been approved by us.
Nothing in this section makes us a party to, or a guarantor of, any event. Section 12 and section 13 apply to events in full.
9. Cooperating with law enforcement
We cooperate with active criminal investigations involving activity on Vicinity, and we respond to valid legal process such as subpoenas, court orders and warrants. In emergencies involving a risk of death or serious injury, we may share information without waiting for legal process. Officers should read our Law Enforcement Guidelines at https://joinvicinity.com/law-enforcement, which set out where to serve process and what to include.
By creating an account and using Vicinity, you consent to our disclosure of your account information, profile, photos, videos, messages, stored coarse location, device and connection records, and any other information we hold about you, to law enforcement and other government authorities in connection with an official criminal investigation, a report we are required by law to make, or valid legal process.
We will not tell you about it. We do not notify members before or after disclosing information to law enforcement, and we will not confirm whether a request concerning you exists. Advance notice can compromise an active investigation and can put people at risk. You agree to this when you use Vicinity.
10. Memberships and payments
- Free and paid. Some features may require a paid membership. What each membership includes, and its price, is shown before you buy.
- Where you buy matters. Purchases in the iPhone or Android app are handled by Apple or Google under their terms, and refunds go through them. Purchases on our website are handled by our payment processor.
- Your first three business days. You may cancel a new membership, without penalty or obligation, at any time before midnight at the end of the third business day after the day you bought it, not counting Saturdays, Sundays or holidays. All money you paid is refunded within ten days of our receiving your notice. Your notice does not have to take any particular form. This applies wherever you bought, including purchases made through the App Store or Google Play.
- Renewals. Memberships renew automatically until you cancel. Cancel any time through your app store or in Settings; you keep access until the end of the period you paid for.
- Refunds. Our Refund and Cancellation Policy, at https://joinvicinity.com/refunds, sets out when a charge can be refunded and how to cancel. It forms part of these Terms.
- Price changes. We will tell you before a price change affects you.
11. Ending your account
You can delete your account any time in Settings. We can suspend or close your account if you break these Terms, if we are required to by law, or to protect members. If we close your account for breaking the rules, you are not entitled to a refund.
12. Service "as is"
Vicinity is provided as is and as available. We do not promise that it will always work without interruption or errors, or that it will suit your purposes. To the fullest extent the law allows, we disclaim all warranties, including any implied warranty of merchantability, fitness for a particular purpose and non-infringement.
13. Limits on our liability
To the fullest extent the law allows:
- We are not responsible for indirect, incidental, special or consequential damages, or for lost profits or lost data.
- We are not responsible for the conduct of any member, online or offline, including anything that happens when members meet in person.
- We are not responsible for content posted by members, or for a member's failure to follow these Terms.
- Our total liability to you, for all claims arising out of or relating to these Terms or your use of Vicinity, is limited to the greater of the amount you paid Vicinity Social, LLC in the 12 months before the claim, or $100.
What this section does not limit. These Terms are governed by California law, and claims are heard in Los Angeles County, as section 14 sets out. Under California Civil Code section 1668, a contract cannot exempt anyone from responsibility for their own fraud, willful injury to the person or property of another, or violation of law, whether willful or negligent. Nothing in this section limits our liability for any of those, or for anything else that cannot be limited under the law that applies to you. If a court finds part of this section unenforceable, the rest of it still applies.
14. Disputes
Start with us. Email support@vicinity-social.com and give us 30 days to sort it out. Most problems can be handled that way.
Governing law and where claims are heard. These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute that is not resolved informally will be heard in the state or federal courts located in Los Angeles County, California, and you and Vicinity each consent to those courts. Nothing here prevents either of us from bringing a claim in small claims court.
15. Changes to these Terms
We may update these Terms. If a change is material, we will notify you in the app or by email before it takes effect and update the date above. Continuing to use Vicinity after that means you accept the new Terms.
16. Other terms
- If any part of these Terms is unenforceable, the rest still applies.
- Our not enforcing a rule once does not waive it.
- You may not transfer these Terms; we may transfer them to a company that takes over Vicinity.
- These Terms, together with the Privacy Policy, are the entire agreement between you and Vicinity Social, LLC about Vicinity, and they replace any earlier agreement or understanding between you and Vicinity Social, LLC on that subject.
